PRIVATE LAND STEWARDS

Terms of Service

Private Land Stewards, LLC | Effective October 6, 2026

These Terms of Service (“Terms”) govern access to and use of the Private Land Stewards website, mobile applications, APIs, software, data tools, reports, and related services (collectively, the “Service”) provided by Private Land Stewards, LLC, a South Carolina limited liability company (“Private Land Stewards,” “we,” “us,” or “our”). By creating an account, clicking to accept, or using the Service, you agree to these Terms.

THESE TERMS ARE SUBJECT TO ARBITRATION PURSUANT TO THE SOUTH CAROLINA UNIFORM ARBITRATION ACT, TITLE 15, CHAPTER 48 OF THE SOUTH CAROLINA CODE OF LAWS, AND THE PARTIES HERETO WAIVE THEIR RIGHTS TO TRIAL BY JURY WITH RESPECT TO ANY CLAIMS SUBJECT TO ARBITRATION.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. If you use the Service for a company, landowner, client, organization, or other entity, you represent that you are authorized to accept these Terms for that entity and to submit, access, manage, and share information concerning the applicable property.

2. Accounts, Organizations, and Authorized Users

You are responsible for providing accurate account information, maintaining the security of your credentials and devices, and activity conducted through your account or credentials, except to the extent resulting from unauthorized access not caused by your acts or omissions. You must promptly notify us if you know or reasonably suspect that your account or credentials have been compromised. You may permit other users to access an account only through organization, team, consultant, sharing, or other access features we make available and may not share individual login credentials except as expressly permitted by Company.

An “Account Owner” or “Organization Customer” is the person or entity that controls the applicable subscription, account, or workspace. Authorized users may access, submit, and manage information on behalf of an Account Owner or Organization Customer subject to the permissions and authority granted to them. An Account Owner or Organization Customer may control its authorized users' access and permissions and, subject to applicable law and the functionality of the Service, the retention, export, and deletion of information controlled by that Account Owner or Organization Customer.

If you access or use the Service through an Organization Customer, information you submit to or create within that organization's account or workspace may be accessible to and controlled by the Organization Customer and its authorized administrators. Removal of an authorized user from an organization may terminate that user's access without deleting information or records associated with the organization, and such information or records may remain available to the Organization Customer after the user's access ends.

If a dispute arises regarding ownership, authority, access, or control of an account, workspace, or associated information, Company may temporarily restrict access or take other reasonable measures while it requests and evaluates documentation or instructions from the applicable parties

3. Acceptable Use

You may use the Service only for lawful purposes consistent with the intended functionality of the Service, including land management, property management, habitat, forestry, wildlife, agricultural, hunting, and related purposes. You may not:

  • Use the Service without authority over the account, property, data, or invited users;
  • Upload unlawful, infringing, malicious, deceptive, or harmful content;
  • Attempt to access another user’s data or bypass security, permissions, rate limits, or technical restrictions;
  • Reverse engineer, scrape, copy, resell, or create a competing database or service except to the extent such restriction is prohibited by applicable law;
  • Use the Service to facilitate trespass, unlawful hunting, unlawful pesticide use, environmental violations, or harm to people, animals, property, or natural resources;
  • Interfere with Service operation or impose an unreasonable technical burden;
  • Misrepresent automatically generated information as professional, regulatory, or legally sufficient advice or records; or
  • Use the Service in violation of sanctions, export controls, or other applicable law.

4. Customer Data and Permissions

As between you and Company, you retain the rights you have in property data, records, files, photographs, boundaries, and other content you submit (“Customer Data”). You grant us a limited, nonexclusive license to host, copy, process, transmit, display, modify for technical formatting, and otherwise use Customer Data for as long as necessary to provide, secure, support, and improve the Service; comply with law; and carry out your instructions, subject to the limitations on use of Customer Data for AI model training described in the Privacy Policy.

You represent that you have the rights and authority necessary to submit Customer Data, invite users, process personal information, and permit our use of Customer Data under these Terms. You are responsible for resolving ownership or access disputes among landowners, consultants, employees, organizations, purchasers, sellers, and other users.

5. Intellectual Property

The Service, software, interface, databases, templates, documentation, branding, and original content provided by Private Land Stewards are owned by or licensed to us and are protected by intellectual-property laws. Third-party map layers, imagery, weather data, extension materials, pesticide information, and other third-party data or content remain owned by their respective owners and may be subject to additional license terms, attribution requirements, and use or redistribution restrictions.

Reports and outputs may combine Customer Data with Private Land Stewards templates, calculations, or licensed content. Your rights in Customer Data are not transferred to us, but you do not acquire ownership of the underlying Service or third-party materials. If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or compensation, provided we do not publicly identify you as the source without permission. Feedback does not include Customer Data merely because Customer Data is included in or relates to a support request or other communication.

6. Third-Party Services, Data, and APIs

The Service may use, integrate with, or provide access to third-party services, APIs, data, maps, imagery, content, or other materials (“Third-Party Services”). Third-Party Services may be subject to separate terms, licenses, restrictions, and policies of their respective providers.

Company does not control and is not responsible for the availability, accuracy, completeness, timeliness, security, or performance of Third-Party Services. Third-party providers may modify, restrict, suspend, or discontinue their services or impose additional conditions at any time. Company may modify, limit, replace, or discontinue any feature that relies on a Third-Party Service without liability.

You may not use Third-Party Services or third-party data made available through the Service in violation of applicable law or any restrictions communicated through the Service.

7. AI-Assisted and Automated Features

AI-assisted and automated outputs are provided for informational purposes and may be incomplete, inaccurate, outdated, or inappropriate for a particular property, condition, or decision. You are responsible for reviewing outputs and determining whether and how to use them, including obtaining appropriate professional advice or independent verification where warranted. Our privacy commitments concerning training and provider processing are described in the Privacy Policy.

8. Subscriptions, Billing, and Automatic Renewal

Paid subscriptions are billed annually only, with sales tax added to listed prices. Basic, Trapper and Professional offer a 14-day free trial without a card. The trial is your opportunity to try the Service before subscribing. Saving a payment method is not consent to a purchase. Before subscribing or agreeing to an additional charge, review and confirm the disclosed amount. Enterprise is contract-only and not self-serve. Beta access is invitation-only unless we announce otherwise.

Paid Subscriptions and Automatic Renewal. Unless otherwise disclosed at the time of purchase, paid subscriptions automatically renew for successive periods corresponding to your subscription term until canceled. You authorize us or the applicable payment provider to charge the payment method on file for applicable subscription fees, taxes, and other charges disclosed at purchase.

You may cancel an automatically renewing subscription before the applicable cancellation deadline using the cancellation method identified at purchase, in your account, or in a renewal notice. Cancellation stops future renewals but does not ordinarily terminate access before the end of the then-current paid subscription period.

Renewal Notices. Where required by applicable law, we will provide advance written or electronic notice of an upcoming automatic renewal. For automatic renewals subject to South Carolina's renewal-notice requirements, we will provide the required notice not less than 30 days and not more than 60 days before the applicable cancellation deadline. The notice will conspicuously state that the subscription will automatically renew unless canceled, the amount to be charged upon renewal, and how to obtain details regarding the renewal and cancellation procedure, including an applicable method for cancellation.

Price Changes. Subscription prices may change upon advance notice. Unless otherwise disclosed or required by law, a price change will take effect upon your next renewal after the effective date of the change.

Cancellation and Refunds. Cancel in the app; access continues through the current paid period and you may undo cancellation before it ends. There are no refunds once you subscribe: use the free 14-day trial to evaluate the Service. A discretionary exception may be approved manually by Private Land Stewards, LLC, minus processing fees, except as required by applicable law. Mandatory statutory cancellation and refund rights are unaffected. Owned properties and their contents are deleted 30 days after the canceled paid period ends; export or transfer first. Login, access to others’ properties, and billing and audit records are retained. No credit is given for removing extras mid-year; a lower recurring price starts at renewal.

Third-Party and App-Store Purchases. If you purchase a subscription through an app store or other third-party platform, billing, renewal, cancellation, and refund procedures may also be governed by that platform's applicable terms and procedures.

Effect of Cancellation. Cancellation of a subscription stops future renewal but does not automatically delete your account or Customer Data. After the applicable subscription period ends, access to some or all features may become limited, read-only, or unavailable depending on the plan. You are responsible for exporting supported Customer Data that you wish to retain before your access ends. Account and Customer Data deletion are handled as described in these Terms and the Privacy Policy.

9. Suspension and Termination

We may suspend, restrict, or terminate access when reasonably necessary because of nonpayment, a security threat, suspected unauthorized access, illegal conduct, abuse, infringement, excessive technical burden, misuse of pesticide information, violation of these Terms, risk of harm, or a legal requirement. When practical, we will provide notice and an opportunity to cure. Immediate action may be taken when delay could create harm or legal exposure.

You may stop using the Service and request account deletion. Termination does not affect accrued payment obligations or provisions that by their nature should survive, including ownership, licenses, disclaimers, limitations, indemnification, dispute terms, and record-retention obligations.

Following termination or account deletion, Customer Data will be handled in accordance with the Privacy Policy and any applicable Customer Data & Ownership Commitment. Termination of an individual user's access does not require deletion of Customer Data controlled by an Organization Customer or other Account Owner

10. Platform Availability and Changes

The Service may be modified, suspended, or discontinued, and features may be added, removed, limited, or designated as beta. We aim for reliable availability but do not guarantee uninterrupted or error-free operation, successful synchronization, permanent storage, or compatibility with every device, browser, map layer, or third-party service. We may modify, limit, suspend, replace, or discontinue features that depend on Third-Party Services if the applicable Third-Party Service is modified, restricted, suspended, discontinued, or no longer available to us on commercially reasonable terms. Scheduled maintenance will be communicated when reasonably practical. You are responsible for maintaining appropriate copies or exports of information that you need to retain independently of the Service.

11. Professional, Mapping, and Regulatory Disclaimer

The Service provides informational and organizational tools and is not a substitute for advice from a licensed forester, wildlife biologist, pesticide applicator, attorney, accountant, surveyor, engineer, veterinarian, medical professional, or other qualified professional. Maps, boundaries, GPS positions, measurements, weather information, calculations, recommendations, and records may be inaccurate or incomplete and are not surveys, legal descriptions, regulatory determinations, or guarantees of compliance. You remain responsible for field verification and decisions made using the Service.

Property boundaries, ownership information, and map features displayed through the Service do not establish title, legal boundaries, access rights, or permission to enter or use property.

12. Pesticide and Chemical Information

Pesticide information is subject to the separate Chemical Application Disclaimer, which is incorporated by reference. The current product label and applicable federal, state, and local requirements control. The Service does not authorize any purchase, possession, mixing, application, storage, disposal, or use of a pesticide. Spray logs or generated records are not represented as satisfying any legal, certification, USDA-program, employer, or regulatory recordkeeping requirement unless expressly verified for the applicable jurisdiction and use.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PRIVATE LAND STEWARDS (AND ITS AFFILIATES) DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, PROPRIETARY RIGHTS, ACCURACY, COMPLETENESS, AND REGULATORY COMPLIANCE. WE DO NOT WARRANT THAT DATA, MAPS, GPS LOCATIONS, OFFLINE SYNCHRONIZATION, WEATHER INFORMATION, PESTICIDE INFORMATION, RECOMMENDATIONS, CALCULATIONS, REPORTS, OR THIRD-PARTY CONTENT WILL BE ACCURATE, CURRENT, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PRIVATE LAND STEWARDS (INCLUDING ITS AFFILIATES AND ITS AND THEIR PERSONNEL) NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING THE PRIVATE LAND STEWARDS SERVICE WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, CROPS, TIMBER, LIVESTOCK, WILDLIFE, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THAT RESULT FROM YOUR USE OR THE INABILITY TO USE THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRIVATE LAND STEWARDS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

15. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Private Land Stewards (and its affiliates and its and their personnel), and any other party involved in creating, producing or delivering the Private Land Stewards service, from claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: (i) your breach of these Terms (including any supplemental or additional terms that may apply), (ii) your improper use of the Service, (iii) your breach of any laws, regulations or third party rights such as intellectual property or privacy rights, (iv) your Customer Data, or (v) your land-management, hunting, or pesticide activities; or material breach of these Terms. You agree to indemnify and hold Private Land Stewards (and its affiliates and its and their personnel), and any other party involved in creating, producing or delivering the Private Land Stewards service, harmless from and against any of the aforementioned claims, liabilities, damages, losses, and expenses, regardless of Private Land Stewards’ responsibility for negligence and howsoever the same may be caused.

16. Changes to Terms

We may update these Terms. We will provide at least 30 days’ advance notice of material changes by email, in-Service notice, posting, or another method reasonably designed to reach affected users, unless a shorter period is required for legal, security, or emergency reasons. If applicable law requires your consent to a change, the change will apply only after we obtain that consent. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, you must stop using the Service and cancel before the changes take effect.

17. Governing Law and Venue

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Judicial proceedings (other than small claims actions) that are excluded from the arbitration agreement in Section 18 of these Terms must be brought in state or federal court in Greenville, South Carolina, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in Greenville, South Carolina.

18. Dispute Resolution and Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES BETWEEN YOU AND COMPANY TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT AND LIMITS THE MANNER IN WHICH CLAIMS MAY BE BROUGHT.

18.1Informal Dispute Resolution

Before initiating arbitration, either party must first provide the other with written notice of the dispute and make a good-faith effort to resolve it informally. A notice to Company must be sent to support@privatelandstewards.com and must include your name and account information, a description of the dispute, and the relief requested.

If the dispute has not been resolved within 30 days after receipt of the notice, either party may initiate arbitration or, where applicable, an action in small claims court.

18.2Agreement to Arbitrate

Except for the exceptions described below, you and Company agree that any dispute, claim, or controversy arising out of or relating to the Service, these Terms, your account, your subscription, or the relationship between you and Company will be resolved by binding arbitration rather than in court.

This arbitration agreement is intended to be governed by the Federal Arbitration Act.

18.3Arbitration Procedures

Arbitration will be administered by the American Arbitration Association (“AAA”). If you use the Service primarily for personal, family, or household purposes, the arbitration will be conducted under the AAA Consumer Arbitration Rules then in effect. Other disputes will be conducted under the AAA rules applicable to the dispute, including the Commercial Arbitration Rules where appropriate.

The applicable AAA rules are available from AAA at www.adr.org.

The arbitrator will have authority to award the same relief that would be available in court on an individual basis, subject to these Terms and applicable law. The arbitrator's award will be final and binding, except for any review permitted by applicable law, and judgment on the award may be entered in any court having jurisdiction.

18.4Arbitration Location and Remote Proceedings

For consumer disputes, arbitration may be conducted by telephone, video conference, documents-only proceeding, or at a reasonably convenient location, as permitted by the applicable AAA rules and applicable law.

For disputes involving an Organization Customer or other business user, the arbitration will take place in the Greenville County, South Carolina, unless the parties agree otherwise or the applicable AAA rules require a different location.

18.5Arbitration Fees

Arbitration fees will be allocated in accordance with the applicable AAA rules and applicable law. Where the AAA Consumer Arbitration Rules apply, Company will pay arbitration fees to the extent required by those rules or applicable law.

18.6Exceptions to Arbitration

Either party may bring an individual claim in a court of competent jurisdiction that qualifies as a small claims court action.

Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief from a court where necessary to prevent imminent misuse of intellectual property, unauthorized access to the Service or Customer Data, or other imminent harm pending resolution of the underlying dispute.

Nothing in these Terms prevents you from reporting a matter to or seeking relief from a federal, state, or local governmental or regulatory agency where applicable law permits you to do so.

18.7Individual Proceedings and Class-Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PRIVATE LAND STEWARDS AGREE THAT CLAIMS WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim, except to the extent applicable law requires otherwise.

If a court of competent jurisdiction determines that applicable law prevents enforcement of this paragraph with respect to a particular claim or request for relief, that claim or request for relief will be severed and may proceed in court after completion of arbitration of any arbitrable individual claims, unless applicable law requires otherwise.

18.8Coordinated or Mass Arbitration

If multiple substantially similar arbitration demands are filed in a coordinated manner and qualify for treatment under the AAA Mass Arbitration Supplementary Rules, those rules and the applicable AAA mass-arbitration fee schedule will govern to the extent applicable.

Nothing in this paragraph authorizes class arbitration or changes the requirement that claims be adjudicated on an individual basis, except as provided by the applicable AAA rules or required by law.

18.9Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to support@privatelandstewards.com within 30 days after you first accept these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement.

Opting out of arbitration will not affect your account or your ability to use the Service.

18.10If You Opt Out or Arbitration Does Not Apply

For any dispute that is not subject to arbitration, you and Company agree to the exclusive jurisdiction of the state and federal courts located in Greenville County, South Carolina, except where applicable law provides otherwise. These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

18.11Jury-Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND COMPANY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR A DISPUTE THAT IS NOT SUBJECT TO ARBITRATION.

18.12Survival

This Section survives termination of these Terms and closure or deletion of your account.

19. General Terms

These Terms, together with incorporated policies and purchase terms, are the entire agreement concerning the Service and supersede prior agreements on that subject. In the event of a conflict between these Terms and additional terms applicable to a particular plan or feature, the additional terms control with respect to that plan or feature. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, or sale of assets. Neither party is liable for delay caused by events beyond reasonable control. The parties are independent contractors, and there are no third-party beneficiaries. Headings are for convenience only. Electronic notices and agreements satisfy writing requirements where permitted by law.
